Terms of Use

These Terms of Use govern access to resilient-os.com, the Resilient Library, public Resilient pathways, and ResilientOS unless a separate signed agreement applies.
1. Agreement to these Terms
These Terms are an agreement between you and Collective ImpactXP LLC, a California limited liability company doing business as Resilient OS.
By accessing or using resilient-os.com or ResilientOS, you agree to these Terms and our Privacy Policy.
Do not use the service if you do not agree to these Terms.
If you use Resilient on behalf of an organization, you represent that you are authorized to act within the role and permissions that organization has assigned to you.
2. What Resilient provides
Resilient develops and stewards human-centered community infrastructure.
Depending on the applicable page, account, organization, or agreement, Resilient may provide:
- public information and publications;
- organizational websites and public entry points;
- forms and pathways;
- accounts and role-based workspaces;
- communication and coordination tools;
- training or orientation materials;
- records, tasks, documents, or dashboards;
- community listening and learning tools; and
- implementation, design, consulting, or stewardship services.
Features available to one organization or user may not be available to another.
3.Resilient’s role and organizational responsibility
Resilient provides infrastructure underneath the work.
Resilient does not automatically become the organization delivering a partner’s mediation, advocacy, education, health, legal, social-service, victim-service, employment, volunteer, public-agency, or community program.
The organization operating a pathway remains responsible for:
- its programs and professional practices;
- its eligibility and service decisions;
- participant relationships;
- staff and volunteer conduct;
- legal and ethical obligations;
- required notices, permissions, and authorizations;
- records it controls;
- its response times; and
- the accuracy of its public and program information.
Resilient may provide technical support and implementation guidance, but technology does not replace responsible human judgment.
4. Not an emergency service
Resilient websites, forms, accounts, and messages are not monitored as emergency services.
Do not use Resilient to report an immediate emergency.
If you or someone else is in immediate danger in the United States, call 911. For suicide, mental-health, or emotional-crisis support, call or text 988.
5. No automatic professional or confidential relationship
Viewing a page, creating an account, sending a message, or submitting a general form does not by itself:
- create an attorney-client relationship;
- create a therapist-client relationship;
- begin a confidential mediation or restorative process;
- establish a victim-advocate relationship;
- guarantee eligibility for a program;
- guarantee that an organization will accept a request; or
- create another professional, fiduciary, privileged, or contractual relationship.
The responsible organization should explain when a formal relationship begins and what confidentiality rules or limits apply.
6. Accounts and authorized access
Some features require an account.
You agree to:
- provide accurate account information;
- use an email address and account you are authorized to use;
- protect sign-in links, credentials, and devices;
- promptly report suspected unauthorized access;
- use only the organization, role, record, and pathway permissions assigned to you;
- sign out of shared devices; and
- keep account and contact information reasonably current.
You may not share an account in a way that defeats individual authentication, accountability, or audit records.
You are responsible for activity performed through your account when caused by your failure to protect it, except to the extent prohibited by law.
7. Acceptable use
You may not use Resilient to:
- violate applicable law;
- impersonate another person or misrepresent your authority;
- access another person’s or organization’s information without authorization;
- interfere with security, authentication, logging, or access controls;
- introduce malware, harmful code, or automated attacks;
- probe or test systems without written authorization;
- scrape, harvest, or systematically extract information without permission;
- submit information you are not authorized to disclose;
- upload detailed sensitive records through a general form not approved for them;
- harass, threaten, exploit, discriminate against, or endanger another person;
- publish another person’s private information without an appropriate basis;
- use the service for spam or unauthorized marketing;
- resell or provide access to ResilientOS without authorization; or
- use automation to make an important legal, safety, eligibility, employment, service, or case decision without responsible human review and an approved process.
Resilient may investigate suspected misuse and restrict access when reasonably necessary to protect people, organizations, information, or systems.
8. Information and content you provide
You retain ownership of content you lawfully provide, subject to any rights held by another person or organization.
You grant Resilient a limited, nonexclusive right to host, process, transmit, display, back up, and otherwise use that content only as reasonably needed to:
- provide the requested service;
- follow authorized organizational instructions;
- maintain and protect the system;
- provide support; and
- comply with law and applicable agreements.
You represent that you have the authority needed to provide the content and instruct Resilient to process it.
Submitting information through a shared platform does not make it public and does not authorize disclosure to every partner or platform user.
9. Resilient materials and the Library
The Resilient name, marks, platform, interfaces, original publications, designs, software, documentation, and reusable materials are owned by Resilient or its licensors unless a page or agreement states otherwise.
You may:
- access public pages and documents for their intended purpose;
- link to public Resilient pages;
- make reasonable quotations with attribution; and
- use downloaded materials as expressly permitted by the document or applicable license.
You may not:
- claim Resilient materials as your own;
- remove attribution or legal notices;
- misrepresent a working draft as an approved or final document;
- sell or commercially republish materials without permission;
- use Resilient trademarks in a way that implies endorsement; or
- copy or reverse engineer protected platform elements except where applicable law expressly permits it.
A document-specific license or written agreement controls when it provides different rights.
10. Partner names, stories, and public work
Resilient will not intentionally publish a partner organization’s name, logo, private work, participant story, screenshot, quote, or nonpublic metric without appropriate authority.
A draft partner page, mockup, or internal demonstration is not necessarily approved for public use.
You may not use Resilient to publish another person’s story, image, audio, video, or identifying information without the required permission.
11. Privacy and data stewardship
Our Privacy Policy explains how Resilient handles information.
Our Data Stewardship materials explain the broader principles guiding collection, access, sharing, portability, and responsible use.
Privacy notices do not replace specific permissions where consent or authorization is required.
12. Third-party services and links
Resilient may link to or integrate with services operated by other organizations.
Those services are governed by their own terms, policies, security practices, and availability. A link does not necessarily mean that Resilient controls or endorses the third-party service.
Resilient is not responsible for third-party content or practices outside our reasonable control.
13. Availability, updates, and changes
We work to keep Resilient available, secure, and useful, but we do not promise that public or unpaid services will always be uninterrupted or error-free.
We may:
- maintain or update the service;
- add, modify, or retire features;
- correct errors;
- restrict an unsafe or unauthorized use;
- suspend a feature during an incident; or
- change a public page or document.
A signed service-level agreement or organizational contract controls any specific uptime, support, maintenance, notice, or service commitment.
14. Suspension and termination
Resilient may suspend or terminate access when reasonably necessary because of:
- a material violation of these Terms;
- unauthorized or unsafe activity;
- a security threat;
- legal requirements;
- nonpayment under an applicable agreement;
- termination of the sponsoring organization’s relationship; or
- a request from the organization responsible for the account.
Where reasonable and safe, we will provide notice and an opportunity to correct the issue.
Organizational records, exports, transition support, and deletion after termination are governed by the applicable agreement and retention rules.
15. Disclaimers
To the fullest extent permitted by law, the public website, public Library, and services not governed by a separate warranty are provided on an “as available” basis.
Resilient does not warrant that:
- every public document is appropriate for every organization or situation;
- a template satisfies every legal, professional, grant, contractual, or regulatory requirement;
- a form submission will be accepted;
- an organization will respond within a particular time;
- a pathway will produce a particular result; or
- the service will always be uninterrupted or free of errors.
Public materials are provided for general information and community-capacity purposes. They are not a substitute for legal, medical, mental-health, financial, or other licensed professional advice.
16. Limitation of liability
To the fullest extent permitted by law, Resilient will not be liable under these general Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost opportunities, loss of goodwill, or loss of data.
For a claim not governed by a separate signed agreement, Resilient’s total liability arising from the public site or service will not exceed the greater of:
- the amount you paid Resilient for the applicable service during the 12 months before the event giving rise to the claim; or
- one hundred dollars.
These limitations do not apply where prohibited by law.
A signed agreement may provide different limitations, remedies, or responsibilities.
17. Responsibility for misuse
You are responsible for losses, claims, or harm caused by your unlawful use, intentional misuse, unauthorized disclosure, infringement, or material violation of these Terms.
Any formal defense or indemnification duties between Resilient and an organizational partner are governed by the applicable signed agreement rather than this general section.
18. Signed agreements control
These Terms do not replace or amend a signed:
- Master Services Agreement;
- Statement of Work;
- Data Processing Agreement;
- Security Schedule;
- Service Level Agreement;
- partnership agreement;
- license;
- memorandum of understanding; or
- other written agreement.
When one of those agreements conflicts with these Terms, the signed agreement controls for the parties and subject matter it covers.
19. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Unless a signed agreement states otherwise, legal proceedings concerning these Terms will be brought in a state or federal court with jurisdiction in Fresno County, California.
20. Changes to these Terms
We may update these Terms to reflect changes in the service, law, security needs, or organizational practices.
The current version will be posted here with its effective date.
Material changes affecting an authenticated or paid service may receive additional notice where appropriate or required by an applicable agreement.
